Terms of Service

Welcome to SysModeler. These Terms and Conditions ("Terms") govern your access to and use of the SysModeler platform, website, and services (collectively, the “Service”), operated by SysModeler, Inc., headquartered in Canton, Michigan, and incorporated in the State of Delaware.

Effective Date: August 06, 2025

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Eligibility and Account Registration

To use SysModeler, you must create an account and be at least 13 years of age. You agree to provide accurate, complete, and current information when registering. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

2. Plans and Subscriptions

SysModeler currently offers a free tier. We plan to introduce paid monthly and annual subscription options. Subscriptions will provide enhanced features and access. Once launched, paid users may cancel their subscriptions at any time, and access will continue until the end of the current billing cycle. Additional terms related to pricing, billing, and refunds will be made available when paid plans are introduced.

3. Ownership of User-Generated Content

By using SysModeler, you may upload system requirements, generate SysML diagrams, and save project data. All diagrams and models created using the Service are considered user-generated content (UGC) and remain your intellectual property.

However, your subscription or account with SysModeler only grants you a license to use the platform. It does not transfer any ownership of SysModeler’s proprietary software, features, trademarks, or infrastructure. All rights not explicitly granted remain with SysModeler, Inc.

You may export your diagrams and content for your own use. We do not claim ownership over your models or system requirements.

4. Acceptable Use

You agree to use the Service lawfully and refrain from:

  • Uploading unlawful or infringing content;
  • Attempting to reverse engineer or decompile any part of SysModeler;
  • Gaining unauthorized access to other user accounts or system areas;
  • Misusing system resources or interfering with platform operations.

Violation of these terms may result in suspension or termination of your account (see Section 7).

5. Third-Party Integrations (Future Feature)

SysModeler plans to introduce integrations with third-party requirement management tools such as Jama, IBM DOORS, and others. When enabled, you may choose to connect these tools to your SysModeler account to import data. You acknowledge that any third-party content or services are subject to their own terms, and SysModeler is not responsible for their behavior or data practices.

6. Privacy

Your use of SysModeler is subject to our Privacy Policy, which explains how we collect, use, and protect your data.

7. Account Deactivation

You may cancel your subscription at any time. To avoid being charged for the next billing cycle, please ensure your cancellation is completed before your renewal date. Your account will remain active until the end of the current billing cycle, after which it will be deactivated. SysModeler reserves the right to suspend or terminate your account, with notice by email, if you violate these Terms or engage in harmful conduct.

8. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted service or error-free operation. To the fullest extent permitted by law, SysModeler disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by applicable law, SysModeler shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or data, arising from your use of or inability to use the Service.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws rules. However, SysModeler operates primarily out of Michigan, and users agree that any disputes may also be subject to the courts of Wayne County, Michigan, as appropriate. We retain the right to seek injunctive or equitable relief in any competent jurisdiction.

11. Modifications to These Terms

We may update these Terms from time to time. We will provide notice of material changes by updating the “Effective Date” above and, when appropriate, by email or by sending a message in your profile within the SysModeler.ai. Continued use of the Service after such updates constitutes your acceptance of the revised Terms.
